There are various mechanisms built into the system designed to protect both the confidentiality of the SunGard DX subscriber as well as the subscriber's authorized users.  Some of the key security features include:

Entitle specific users or groups of users, e.g. investors, deal teams, and/or prospects, etc., to specific documents or folders of documents.  Take it one step further and selectively restrict specific actions such as Save, Read, Print or Online Reading Only, that individuals can perform when accessing a document.  The Data Room administration team can also have varying levels of entitlements enabling you to create an internal workflow consisting of checks and reviews before any content is made available to people outside the firm.

Watermarks are a great way to deter viewers from misappropriating your highly sensitive and confidential information.  Predefine a series of watermarking templates and then apply each of them to folders within the data room.  Then upload documents and the watermarks will be automatically applied when viewers attempt to view your content.  This means that you can change a watermark at any time without reuploading documents. The watermark can include text, a logo, or system information such as a userID or a timestamp.

SunGard DX provides a variety of audit reports keeping you informed about who and when someone has viewed, printed, and saved a document.  You can even find out the exact pages that were printed.  With a SunGard DX audit report, you can better anticipate the types of questions a potential investor will present, ultimately improving your negotiating abilities.
